1. INTRODUCTION

These Terms & Conditions (“Terms”) govern your use of the SOCIALS COLLECTIVE website and all related services, including but not limited to:

  • SOCIALS Agency
  • SOCIALS Network
  • SOCIALS Marketing
  • SOCIALS Events
  • Coaching Services
  • Creator Services
  • Brand Services

(together, the “Services”).

By accessing this website or engaging with any of our Services, you confirm that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, you must not use this website or engage with our Services.

2. DEFINITIONS

For the purposes of these Terms:

“SOCIALS”, “SOCIALS COLLECTIVE”, “we”, “us”, or “our” refers to SOCIALS COLLECTIVE.

“User” refers to any individual or entity accessing the website or Services.

“Creator” refers to any individual applying to or working with SOCIALS Agency or SOCIALS Network.

“Brand” refers to any business or organisation engaging with our Services.

“Services” refers to all offerings provided by SOCIALS COLLECTIVE.

“Network” refers to the SOCIALS Network membership platform.

“Coaching” refers to premium coaching and mentorship services offered separately from the SOCIALS Network membership.

3. ELIGIBILITY

Users must be at least 18 years old or have appropriate parental or guardian consent where legally required.

By using our Services, you confirm that you meet any applicable legal age requirements within your jurisdiction.

4. INTERNATIONAL SERVICES

SOCIALS COLLECTIVE operates internationally and provides Services to creators and brands both within and outside of the United Kingdom.

By accessing our website or engaging with our Services from outside the United Kingdom, you acknowledge and agree that:

  • You are responsible for compliance with any applicable local laws or regulations
  • These Terms shall be governed by the laws of England and Wales
  • Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales

We make no representation that our Services are appropriate or available in all jurisdictions.

5. GENERAL WEBSITE USE

You agree to use this website lawfully and in accordance with these Terms.

You must not:

  • Misuse, disrupt, or interfere with the website or Services
  • Attempt to gain unauthorised access to systems, data, accounts, or automations
  • Use the website for unlawful, fraudulent, abusive, or harmful purposes
  • Copy, reproduce, distribute, exploit, or republish any content without written permission
  • Interfere with payment systems, CRM systems, workflows, automations, or community operations

We reserve the right to suspend, restrict, or terminate access where misuse is suspected.

6. SOCIALS AGENCY

6.1 Applications

Submitting an application to SOCIALS Agency:

  • Does not guarantee acceptance
  • Is subject to review at our sole discretion
  • May result in placement within any level of representation deemed appropriate by SOCIALS COLLECTIVE

We are under no obligation to provide feedback or justification regarding application decisions.

6.2 Agency Representation Structure

SOCIALS Agency offers varying levels of representation including:

  • Network Representation
  • Select Representation
  • Exclusive Management

Network and Select Representation are non-exclusive.

Exclusive Management may operate on a fully exclusive basis with a more tailored level of support.

SOCIALS COLLECTIVE reserves the right to determine, amend, suspend, or remove a creator’s level of representation at its sole discretion.

6.3 Commission & Revenue

Unless otherwise agreed in writing:

  • SOCIALS COLLECTIVE is entitled to 25% commission on all partnerships, collaborations, campaigns, or commercial opportunities facilitated, introduced, negotiated, sourced, or otherwise connected through SOCIALS COLLECTIVE
  • This applies regardless of whether payment is made directly to the Creator or via SOCIALS COLLECTIVE
  • Creators must disclose all relevant commercial arrangements connected to introductions made by SOCIALS COLLECTIVE

Failure to disclose such arrangements may result in:

  • Removal from the Agency
  • Suspension of Services
  • Recovery of unpaid commission
  • Additional legal or commercial action where appropriate

6.4 Exclusive Management

Creators accepted into Exclusive Management:

  • May be subject to exclusive representation
  • Must not enter into conflicting agreements or representation arrangements without prior written consent

Additional exclusivity terms will be outlined in a separate written agreement where applicable.

6.5 Separate Agreements

Creators accepted into Agency representation may be required to enter into separate written agreements outlining:

  • Scope of representation
  • Deliverables
  • Exclusivity terms
  • Commission structures
  • Payment terms
  • Duration and termination

6.6 Creator Conduct & Obligations

Creators agree to:

  • Act professionally and in good faith
  • Deliver agreed work to a professional and timely standard
  • Comply with advertising, disclosure, and platform guidelines
  • Behave respectfully toward brands, creators, staff, and community members

Creators must not:

  • Harass, abuse, threaten, or exploit others
  • Misrepresent audience metrics or analytics
  • Share confidential information
  • Damage the reputation of SOCIALS COLLECTIVE or its partners

SOCIALS COLLECTIVE reserves the right to suspend or remove any Creator whose behaviour, conduct, or content is deemed harmful, inappropriate, misleading, unlawful, or damaging to the business or community.

6.7 Independent Status

Creators engaged through SOCIALS COLLECTIVE act as independent contractors and not as employees, partners, shareholders, or agents of SOCIALS COLLECTIVE.

Nothing within these Terms creates any employment, partnership, or joint venture relationship.

7. SOCIALS NETWORK

7.1 Membership

SOCIALS Network is a recurring paid membership service.

By subscribing to SOCIALS Network, users agree to:

  • Pay all applicable subscription fees
  • Provide accurate billing information
  • Maintain a valid payment method
  • Authorise recurring payments until cancellation

Access to the SOCIALS Network is granted immediately upon successful payment.

By purchasing access, users expressly consent to immediate access to digital services and waive any applicable statutory cooling-off period once access has been granted, to the extent permitted by law.

7.2 Billing & Renewals

Subscriptions renew automatically on a recurring monthly basis unless cancelled prior to the next billing date.

Payments are processed through third-party providers including Stripe.

SOCIALS COLLECTIVE is not responsible for:

  • Banking failures
  • Payment processor outages
  • Technical payment interruptions
  • Third-party payment system issues outside of its reasonable control

7.3 Payment Failures

Where recurring payments fail:

  • SOCIALS COLLECTIVE reserves the right to suspend or revoke access until payment is successfully processed
  • Membership access, opportunities, or community features may be restricted or removed
  • Failed payments may trigger automated reminders and billing communications

7.4 Cancellations

Subscriptions may be cancelled at any time through the designated customer billing portal.

Cancellation will prevent future renewals but does not generate refunds for previous billing periods.

Unless otherwise stated:

  • Access remains active until the end of the current billing cycle
  • No partial refunds or credits will be issued
  • No refunds will be provided for unused time, inactivity, or partial usage

SOCIALS COLLECTIVE reserves the right to suspend or terminate access where misuse, abuse, policy breaches, or fraudulent chargeback activity occurs.

7.5 Refund Policy

All payments are non-refundable except where required by applicable law.

No refunds will be provided for unused time, inactivity, or partial usage

By purchasing access to digital services and community features, users acknowledge that:

  • Immediate access is granted upon payment
  • Access to community resources, systems, opportunities, and digital materials constitutes fulfilment of the service
  • Refund requests based on inactivity, lack of usage, or personal circumstances will not normally be granted

Nothing within these Terms affects statutory consumer rights.

7.6 Membership Conduct & Community Standards

Removal from the SOCIALS Network does not remove any outstanding payment obligations incurred prior to termination.

Members agree to:

  • Engage respectfully and professionally
  • Behave appropriately toward creators, brands, staff, and community members
  • Avoid harassment, abuse, discrimination, threats, or harmful behaviour
  • Avoid copying, distributing, exploiting, or reselling community resources or internal materials

SOCIALS COLLECTIVE reserves the right to remove or suspend members without refund where behaviour is considered harmful, inappropriate, unlawful, abusive, or damaging to the business or community.

7.7 No Guarantee of Results

SOCIALS COLLECTIVE does not guarantee:

  • Follower growth
  • Engagement growth
  • Brand partnerships
  • Paid collaborations
  • Representation opportunities
  • Income
  • Commercial success
  • Algorithmic reach or visibility

Access to SOCIALS Network does not guarantee creator opportunities, campaigns, representation, paid work, or collaborations.

Results depend on individual effort, market demand, platform behaviour, brand requirements, and external factors outside of our control.

7.8 Platform & External Risks

SOCIALS COLLECTIVE is not responsible for:

  • Platform outages
  • Algorithm changes
  • Social media bans or restrictions
  • Shadow banning
  • Demonetisation
  • Account suspensions
  • Third-party platform failures
  • Changes within the creator economy

7.9 Service Availability & Technical Systems

While reasonable efforts are made to maintain uninterrupted Services, SOCIALS COLLECTIVE does not guarantee uninterrupted access to:

  • Automation systems
  • CRM systems
  • Community systems
  • Payment systems
  • Third-party software
  • Digital resources

SOCIALS COLLECTIVE shall not be liable for automation failures, software outages, technical interruptions, or third-party system failures outside of its reasonable control.

8. COACHING SERVICES

8.1 Separate Service

Coaching services are offered as a separate premium service from SOCIALS Network membership and provide personalised support, strategy guidance, mentorship, feedback, and enhanced access.

Coaching is not included within the standard SOCIALS Network membership unless explicitly stated.

8.1A Coaching Purchases & Access

Coaching services may be purchased separately or alongside other SOCIALS COLLECTIVE services where applicable.

Access to Coaching does not require an active SOCIALS Network membership unless explicitly stated.

Coaching pricing, structure, availability, and level of support may vary depending on the service provided.

Separate billing arrangements may apply for Coaching services.

8.2 Availability

Coaching services may be limited and are subject to availability.

SOCIALS COLLECTIVE reserves the right to:

  • Refuse coaching applications
  • Limit availability
  • Pause coaching enrolment
  • Modify coaching structures or delivery

at its sole discretion.

8.3 No Guarantee of Results

Coaching services do not guarantee:

  • Income
  • Followers
  • Brand deals
  • Growth
  • Commercial outcomes
  • Career progression

All outcomes depend on individual effort and external factors outside of our control.

8.3A Coaching Billing & Cancellations

Coaching services may operate on separate billing arrangements from SOCIALS Network membership.

Unless otherwise stated:

- Coaching payments are recurring where applicable
- Coaching fees are non-refundable except where required by law
- Coaching services may be cancelled in accordance with the applicable billing terms provided at purchase

Cancellation of SOCIALS Network membership does not automatically cancel Coaching services, and vice versa.

8.4 Coaching Conduct

Users engaging in coaching services agree to behave respectfully and professionally.

SOCIALS COLLECTIVE reserves the right to suspend or terminate coaching access where behaviour, misuse, abuse, harassment, or policy breaches occur.

8.5 Coaching Materials & Confidentiality

All coaching materials, systems, templates, frameworks, strategy documents, resources, recordings, and internal information remain the intellectual property of SOCIALS COLLECTIVE.

These materials may not be:

  • Shared
  • Distributed
  • Reproduced
  • Published
  • Resold
  • Copied

without prior written consent.

9. MARKETING, EVENTS & BRAND SERVICES

9.1 General

SOCIALS COLLECTIVE provides services including but not limited to:

  • Social media marketing
  • Campaign management
  • Creator sourcing
  • Talent management
  • Creator partnerships
  • Event planning
  • Brand collaborations

All services are tailored and agreed following enquiry.

9.2 No Binding Agreement

Website content is provided for informational purposes only and does not constitute a binding commercial agreement.

All commercial work remains subject to separate written agreements.

9.3 Events

For Events services:

  • Deliverables and expectations will be agreed in advance
  • SOCIALS COLLECTIVE is not responsible for venue issues, third-party suppliers, attendee conduct, travel disruption, illness, or circumstances outside of its control
  • Creator attendance is not guaranteed unless contractually agreed

9.4 Creator Collaborations

SOCIALS COLLECTIVE facilitates creator and brand introductions but does not guarantee:

  • Campaign performance
  • Reach
  • Engagement
  • Sales
  • Commercial outcomes

SOCIALS COLLECTIVE is not liable for creator conduct outside agreed deliverables.

10. PAYMENTS

Where applicable:

  • Fees must be paid in accordance with agreed terms
  • SOCIALS COLLECTIVE reserves the right to suspend Services for non-payment
  • Campaign work, deliverables, or creator access may be withheld until payment is received in full

Users agree not to initiate unjustified chargebacks or payment disputes where digital services, membership access, or community access has already been provided.

SOCIALS COLLECTIVE reserves the right to dispute fraudulent or abusive chargebacks and recover associated costs.

11. COMMUNICATIONS

By engaging with SOCIALS COLLECTIVE, users consent to receiving operational, onboarding, billing, membership, and service-related communications via methods including but not limited to:

Marketing communications remain subject to applicable consent laws and opt-out rights.

12. INTELLECTUAL PROPERTY

All website content, branding, systems, materials, templates, frameworks, processes, strategies, digital resources, and community materials remain the property of SOCIALS COLLECTIVE unless otherwise stated.

Users may not:

  • Copy
  • Redistribute
  • Resell
  • Republish
  • Exploit
  • Reproduce

any materials without prior written consent.

Unless otherwise agreed in writing, SOCIALS COLLECTIVE reserves the right to use campaign content, creator content, testimonials, and collaboration materials for promotional, portfolio, marketing, and educational purposes.

13. CONFIDENTIALITY

All parties agree to maintain confidentiality regarding:

  • Commercial terms
  • Internal systems
  • Community information
  • Strategy
  • Operational processes
  • Creator information
  • Brand information

unless disclosure is required by law or agreed in writing.

14. DATA PROTECTION

SOCIALS COLLECTIVE processes personal data in accordance with its Privacy Policy.

This may include data collected through:

  • Website usage
  • Applications
  • CRM systems
  • Stripe
  • Automation platforms
  • Marketing systems
  • Community platforms
  • Analytics tools

15. LIMITATION OF LIABILITY

To the fullest extent permitted by law, SOCIALS COLLECTIVE shall not be liable for:

  • Indirect or consequential loss
  • Loss of profits
  • Loss of revenue
  • Loss of opportunity
  • Loss of data
  • Platform-related losses
  • Technical failures
  • Third-party failures

To the fullest extent permitted by law, total liability shall not exceed the amount paid by the user for the relevant Service during the preceding 12-month period.

16. INDEMNITY

You agree to indemnify and hold harmless SOCIALS COLLECTIVE against any claims, damages, liabilities, losses, or costs arising from:

  • Your breach of these Terms
  • Misuse of Services
  • Unlawful conduct
  • Content or actions for which you are responsible

17. TERMINATION

SOCIALS COLLECTIVE reserves the right to:

  • Refuse service
  • Suspend access
  • Remove creators or members
  • Terminate accounts or memberships

at its sole discretion where these Terms are breached.

18. NON-CIRCUMVENTION

Creators and Brands agree not to circumvent, bypass, or avoid SOCIALS COLLECTIVE in relation to introductions, opportunities, partnerships, or commercial relationships facilitated by SOCIALS COLLECTIVE.

This restriction applies for 12 months following the end of any relationship with SOCIALS COLLECTIVE.

19. FORCE MAJEURE

SOCIALS COLLECTIVE shall not be liable for delays or failures caused by events outside of its reasonable control including:

  • Illness
  • Travel disruption
  • Platform outages
  • Supplier failures
  • Internet failures
  • Payment processor outages
  • Technical failures
  • Acts of God

20. NO RELIANCE

Any guidance, education, coaching, advice, or information provided by SOCIALS COLLECTIVE is for informational purposes only and does not constitute legal, financial, tax, medical, or professional advice.

Users rely on such information at their own risk.

21. SERVICE CHANGES

SOCIALS COLLECTIVE reserves the right to modify, pause, update, or discontinue any part of its Services at any time.

Where reasonably possible, notice will be provided.

22. GOVERNING LAW

These Terms are governed by the laws of England and Wales.

All disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
